1 [Purpose] This Exelbid Terms of Service (this “Agreement”) between you, a Member and Motiv Intelligence, Inc., a company organized under the laws of the Republic of Korea (hereinafter “Motiv Intelligence,” the “Company,” “we,” “us” or “our’) govern your use of our Exelbid ad exchange platform services (the “Exelbid Services”). “You” or “Your” means you or any other person or entity identified in any service account on whose behalf you are authorized to act. 2 [Definition] In this Agreement, the following terms shall have the meanings specified in this Article 2. 1) ”Exelbid” means the ad exchange platform provided by the Company and Exelbid Services include the use of our Website as well. 2) A “Member” means an entity or a person who represents the entity who have entered into a written Contract with the Company to use our Exelbid Services pursuant to the terms and conditions of this Agreement. A Member can either be a Publisher Partner or an Advertising Demand Partner. 3) A “Publisher Partner” means a Member who offers or owns ad space on its websites, mobile applications or other advertising inventory that the Company has permitted. 4) An “Advertising Demand Partner” means a Member who is an advertiser, an advertising platform, ad network or other participant who desires to purchase ad inventory through Exelbid Services. 5) ”Ad Inventory” shall mean elements of websites, mobile applications or other advertising inventory that are permitted by the Company which a Publisher Partner designated, in Exelbid, for placement of Ad Content. If the Company offers Exelbid Services via PC, TV, mobile phone or other wired or wireless devices, any ad space available for such platforms shall be treated as Ad Inventory for the purposes of Exelbid Services. 6) “Exelbid SDK” means all software development kit that we provide to our Publisher Partners to enable Exelbid to be integrated to Ad Inventory of the Publisher Partners. 7) “Ad Content” means advertising content for specific services or products that the End Users will view on the Ad Inventory that are exchanged in Exelbid. 8) “End User” means a user who views or uses the subject of Ad Content offered on Ad Inventory of a Publisher Partner who offered the Ad Inventory through Exelbid. 9) “Website” means the website operated by the Company (http://manage.exelbid.com) for Exelbid Services. 10) “Ad Fee” means a fee to be paid for displaying Ad Content on Ad Inventory. 11) An “ID” means a unique identifier used in Exelbid to identify a Member. A Member may choose, subject to approval by the Company, an ID in any combination of alphabets and numeric numbers or use an email address. 12) A “Password” means a secret code consists of alphabets and numeric numbers that a Member can choose to protect the Member’s access to Exelbid. 13) ”Administrator” means the person designated by the Company to oversee and monitor Exelbid Services for proper operation. 14) A “Post” or “Posting” means any letter, sign, symbol, sound, picture, video, words or any link to any of the foregoing that is uploaded to the Website by a Member. 15) A “Contract” means a written agreement between the Company and an applicant who desires to use the Exelbid Services. A written Contract must be executed before a person or entity can become a Member and use the Exelbid Services. Any terms or expressions used in this Agreement that are not otherwise defined in Section 1 shall be interpreted in accordance with applicable laws, any instructions using the Exelbid Services provided by the Company or international business customs. 3 [Applicability and Amendment] This Agreement applies to all Members of Exelbid. By creating a Member account via the online user interface on the Website, or by otherwise accessing or using any part of the Exelbid Services, you effectively give your consent to be bound by the terms and conditions of this Agreement. If you do not agree to the terms and conditions of this Agreement, you cannot create a Member account, or access or use any part of the Exelbid Services. We reserve the right to change or modify any of the terms and conditions of this Agreement at any time and in our sole discretion. We will provide 15 days prior notice to you before making any such changes; provided, if in our opinion, any such changes may not be so favorable to you, then in such cases, we will provide at least 30 days prior notice to you via E-mail or SMS (However, if we cannot reach you due to failure on your part to update your contact information, then a prior notice will be deemed given to you by posting the amended terms and conditions on the Website). Your continued use of any part of the Exelbid Service following our notice to you of any changes or modification to any of the terms and conditions of this Agreement, or posting of the amended Agreement on the Website will constitute your consent to such changes or modifications. If you do not agree with any of the changes or modifications to this Agreement, you must stop using the Exelbid Services and contact us for cancellation of your membership. By agreeing to be bound by the terms and conditions of this Agreement, you also agree to periodically check our Website for any amendment to this Agreement. The Company is not responsible for any damages or losses you may incur due to your failure to check for the updates or changes to this Agreement. 4 [Other Applicable Terms and Conditions] Any matters not specifically addressed in this Agreement shall be governed by the provisions of applicable Korean laws, including without limitation, the Framework Act on Telecommunications, the Telecommunications Business Act, Act on Promotion of Information and Communications Network Utilization and Information Protection, etc. (hereinafter the “Information and Communications Network Act”) and the Act on the Consumer Protection in Electronic Commerce, etc. If you, as a Member entered in to a separate agreement with Exeibid concerning any other product or services offered by the Company through Exelbid, then the terms and conditions of the separate agreement shall govern the relationship between the parties concerning that other subject matter in addition to this Agreement. Contract for Using Exelbid 5 [Contract for Using Exelbid] The Contract for use of Exelbid between the Company and a Member shall be effective upon execution by the authorized representatives of the parties of the Contract, and the completion by the Member of entering relevant information requested on the Website and the Company’s acceptance thereof. The Company may request applicants for membership to authenticate their name, phone number and/or E-mail address. The Company reserves the right to accept or deny any application for the Exelbid Services or request additional information at its sole discretion. The Company may place restriction on use or other necessary measures to comply with the rating and age related provisions under applicable legislations, including without limitation, the Youth Protection Act. 6 [Acceptance by the Company] The terms and conditions of this Agreement shall apply to all Members who use the Exelbid Services. Unless otherwise prevented due to technical difficulties, the Company accepts and approves applications submitted to us via the Website on a first come first served basis. The Company reserves right to reject any membership application on the basis of any of the following (or cancel membership upon later discovering any). 1) If the applicant provided false identity or used the name of another person; 2) If the applicant provided false information or fail to provide information requested by the Company; 3) If the applicant violated relevant provisions of this Agreement or committed any negligence or misconduct; or 4) for other reasons as reasonably determined by the Company. The Company reserves the right to temporarily halt accepting or processing any applications for Membership for any of the following basis: 1) If the Company cannot serve additional Members due to limited capacity; 2) If the Company is experiencing technical difficulties; 3) If the Company cannot confirm the identity of an applicant; or 4) for any other reasonable basis at the Company’s discretion. In the event that the Company rejects or withhold accepting any application, the Company will notify the applicant of the basis for the Company to reject or withhold the application submitted to the applicant, via email or through Website. Where applicable, we will provide the list of the additional documents that the applicant may submit for reconsideration by the Company. 7 [Changing Member’s Information] You can review and update your Member information at any time on the Website. If any information you provided during the application process has changed, it is your responsibility to update or correct such information. The Company will not be responsible for any failure to update on your part. You may withdraw your consent to this Agreement and the use of Exelbid at any time, with or without cause by requesting cancellation. Please note that your use of the Exelbid Services will be limited upon withdrawing your consent. 8 [Changes to Our Services] 1. The Company reserves the right to change or modify any part of the Exelbid Services (including without limitation, quality and technical specifications) at any time and in its sole discretion upon providing 15 days prior notice to you which notice will be posted on the Website or communicated via e-mail. If, however, we believe any of the changes may not be so favorable to you, then we will provide at least 30 days prior notice to you via e-mail or SMS. 2. The Company reserves the right to suspend or terminate the Exelbid Services or any part thereof in each of the following cases: 1) for maintenance, repair or technical difficulties; 2) if a Member interferes with our operation; 3) for power outage, failure of communication equipment or sever failure due to unusually high traffic; 4) for any other internal reasons as determined by us; or 5) in the event of force majeure, including without limitation, natural disaster, acts of God or national emergency. 3. A Member may terminate the Contract as follows: 1) at any time with or without cause by making termination request to the Company. Such termination will become effective upon the Company’s receipt of the termination request. 2) The Company will not be responsible for any losses or damages you may incur in relation to your termination. The Company reserves the right to retract any rights and privileges that the Company offered to you prior to your termination. 3) if not agree to the terms related to the use of the Exelbid Services. 4. The Company will not be responsible for any losses, damages or problems you may incur in relation to your termination or suspension of the use of the Exelbid Services. 5. The Company reserves the right to immediately terminate a Member’s Contract or block such Member from accessing Exelbid in its sole discretion for any breach by the Member of its obligations under Section 10 and/or Section 11, with or without notice, upon discovery by the Company. 6. The Company reserves the right to suspend or terminate a membership whose account has a no log-in or access record for a year since its registration and no response to The Company's prior notice of the termination. 7. Any Member whose account was terminated by the Company under Subsections 5 or 6 above may appeal the Company’s decision by following the instructions provided by the Company. 8. If the Company finds the appeal has valid ground, the Company will immediately restore the Member’s account. 9 [Our Obligations to You] The Company does not disclose, share or distribute any personal information collected from any Member to a third party without the Member’s express consent; provided, that we may disclose such information to relevant government agencies, including without limitation, the Korea Communications Commission pursuant to a legal requirement, a judicial order or government regulations, to the extent required under applicable laws. The Company will promptly process any complaints reported to our customer service department. In the event the Company cannot respond to complaint in timely manner, the Company will communicate reasons for the delay and estimated time of our response through the Website or via e-mail. The Company closely observes all applicable laws for providing and maintaining the Exelbid Services, including without limitation, the Information and Communications Network Act, the Protection of Communications Secret Act and Telecommunications Business Act. 10 [Your Obligations] A Member shall not, and shall not cause or allow any third party to commit any of the following actions without the prior consent of the Company. 1) For All Members (1). Accessing or using Exelbid through means that are not specifically allowed by the Company or against the instructions provided by the Company. (2). Impersonating any employee of the Company, including the Administrator or stealing a third party’s account to upload postings or send e-mails. (3). Distributing false information for unjust economic gain or to defraud others. (4). Repeatedly terminating and opening accounts to take advantage of discount coupons or other promotions offered by the Company for new users. (5). Other interference with normal operation of Exelbid (6). Collecting, storing or sharing personal information of another Member or End Users without expression permission. 2) For Publisher Partners (1). Edit, modify, filter, transform, delete, hide, or minimize ad links, ad units, types of exposure, and the order in which the information contained in the ad is displayed. (2). Encouraging others to click on Ad Content on your Ad Inventory or artificially creating clicks. (3). Artificially increase the number of impressions (regardless of the method used) or clicks. (4). Posting confusingly similar or indistinguishable image or pictures next to Ad Content. (5). Modifying the code for Ad Content with such method not expressly permitted by the Company or manipulating type of exposure or targeted users in Exelbid to copy or distort the information stored or transmitted in Exelbid. (6). Intentionally overloading the servers and other communication equipment of the Company. 3) For Advertising Demand Partners Any action in breach of the Contract entered with the Company prior to the use of Exelbid. 2. In the event that a Member commits any actions that is prohibited under Section 1 above, the Company may, in its sole discretion, retract some or all of the additional benefits provided to the Member, limit the use of certain services, terminate the Contract with the Member or file claim for monetary damages. 3. If the Company takes any corrective measures provided under Section 2 above, it will provide prior notice to the affected Member via e-mail or telephone; provided, however, that if the Company cannot reach the Member or the Company has reasonable basis to take the corrective measures immediately, then the Company may take the corrective measures without giving prior notice. 4. The Member may appeal the Company’s decision to take the corrective measures set forth in Section 2. 5. If the Member’s Contract is terminated by the Company as provided under Section 2, the Company may, without prior notice, cancel any transaction with the terminated Member. 6. If the Contract is terminated as provided under Section 2, the Company reserves the right to reject any subsequent applications for membership submitted by the terminated Member. 11 [Other Obligations of Members] 1) Ad Inventory & Ad Content (1) A Publisher Partner is solely responsible for all matters related to Ad Inventory offered by the Publisher Partner. (2) An Advertising Demand Partner is solely responsible for all matters related to its Ad Content, including sale of product or services that is the subject of the Ad Content and also the related customer services. 2) Terms of Service. As a Member, you are responsible for ensuring the compliance of your partners, end users and affiliates (i.e. advertisers or ad inventory network as the case may be) with the Company’s terms of services for Exelbid, including our Privacy Policy. You may enter into written agreement with your partners, end users and affiliates to obtain their written consent to all terms and conditions of Exelbid, including our Privacy Policy. It is also your responsibility to communicate to your partners, end users and affiliate of any updates or changes made to our policies. 3). If you, as a Member, desire to offer personalized advertising by collecting or using personal information about your users, you may be legally required to prepare a privacy policy and make it available to your users. If you are collecting information from any viewers of Ad content of your Ad Inventory, then you must also comply with applicable rules and regulations. For clarity, if Ad Inventory offered by a Publisher Partner includes a third party’s Ad Inventory then it is the Publisher Partner who must prepare and distribute a privacy policy. 4) Any of your AD Inventory is targeted to children under the age of 13, you must be in full compliance with Children’s Online Privacy Protection Act (“COPPA”) and you must represent and warrant that you will not transmit personal information about a minor. 5) GDPR. If you wish to offer personalized advertising to End Users in the European Union, UK and Switzerland, you must obtain prior consent from such users in full compliance with GDPR. 6) It is your responsibility to securely maintain your ID and Password. You are solely responsible for all consequences arising from any neglect or misuse of your ID and Password. You should not let others use or have access to your ID or Password. If you believe someone else has access to Your ID and Password (or if you have reason to believe they are stolen) you should report to the Company immediately and follow the instructions of the Company. Your Use of ExelBid 12 [Restrictions] If You or any employee or affiliate of you breach any terms and conditions of this Agreement or otherwise interfere with the proper operation of Exelbid, we reserve the right to limit your access to Exelbid. We will not be responsible for any losses you may incur in connection with any such limitation imposed by us. If any Ad Inventory or Ad Content you offer falls under any of the following, we reserve the right to restrict your use of Exelbid without any liability to you. 1) Content containing, consisting of or promoting discrimination, illegal activities, hate speech, graphic violence, firearms, tobacco, illegal drugs, pornography, profanity, obscenity or sexually explicit material 2) Any content that is specifically outlawed by the jurisdiction of your location We reserve the right to suspend, without prior notice, all or any part of the traffic generated by you or Ad Inventory offered by you if we have reasonable basis to suspect that all or any part of the traffic is generated by fraudulent scheme. We reserve the right to limit your access to Exelbid if you fail to pay any undisputed of Ad Fee when it’s due. 13 [Technical Support] If a Member or any employee of the Member forwarded questions or requests for assistant to us concerning Exelbid or the Exelbid SDK via e-mail, phone or other communication channel, then we shall treat such request as your consent to give us the access to your application build file which may contain your mobile application information. We may collect statistical data through the Exelbid SDK and such other data that are generated from your use of the Exelbid SDK. We may process such data so that we cannot identify specific Member or Member’s mobile application and use such data solely to improve any products or services provided by us or to provide statistical information to our Members. 14 [Ad Fees] The Company will calculate and pay Ad Fee to Publisher Partners based on the rate table set by the Company. Pursuant to this Section 14, we reserve the right to suspend any Ad Inventory or withhold payment of Ad Fee to the Member who offered the Ad Inventory, if we have, based on our monitoring process, reasonable basis to determine that the Ad Inventory provided by the Member is not valid. The amount of Ad Fee payable will be calculated at the rate to be agreed by the Company and the Publishing Partner and shall be based on the statistics generated from the Website. A Member may request for unpaid Ad Fee (if any) upon termination of the Contract; provided, however, that the Member shall have no claim to any unpaid Ad Fee that are over 5 years due from any termination of the Contract. We may deduct from any payments any withholding, sales, value added, and other applicable taxes which we are required by law to deduct. 15 [Our Right to Withhold Payment] We reserve the right to deduct any amount of damage or loss from Ad Fee payments to a Member to the extent such damages or losses are incurred by the Company due to any fault or breach of the Member. We further reserve the right to withhold, for a reasonable time period, an appropriate portion of the payment to be made upon termination, to compensate for any refund requests or claims from Advertising Demand Partners in connection with the Ad Inventory offered by the terminated Member. In the event of a court seizure or collection order on any payment due to a Publisher Partner, we reserve the right to withhold any payment to the Publisher Partner until the Publisher Partner finally settles with the relevant creditor. Notwithstanding anything to the contrary herein this Section 15, we reserve the right to withhold all or any part of the payment due to a Publisher Partner pursuant to the operation of applicable laws or if we have other reasonable legal basis. 16 [Promotional Materials] The Company will, from time to time, provide relevant information about Exelbid on the Website or via e-mail or postal mail to our Members. Company will, with your consent, provide useful information or other advertising materials to you via SMS or e-mail. 17 [Removal of Inappropriate Posting] The Company reserves the right to remove any Posting made by Members on the Website for any of the following cases without any liability to such Member: 1) materials that are defamatory or libelous to the Company, any Member or third party; 2) materials that are against social order or public safety; 3) materials that are illegal or distribution of which can be a criminal offense; 4) materials that are infringing upon intellectual properties of the Company or any third party; 5) materials that are past the pre-determined posting period by the Company; 6) non-permitted promotional or advertising materials; or 7) any other outlawed or non-permitted materials under applicable laws. The Company reserves the right to implement a separate policy setting forth detailed terms and conditions covering the Postings on the Website and may remove any Postings that are in breach of such policy. 18 [Liabilities] The Company agrees to indemnify and hold harmless a Member from any damages or losses arising out of or resulting from any intentional misconduct or negligence of the Company in providing the Exelbid Service. A Member agrees to indemnify and hold harmless the Company, its officers, employees and agents from any claims, lawsuits, damages or losses including court costs and attorney’s fee arising from any breach by the Member of this Agreement or any provisions of applicable laws. You agree to indemnify, defend and hold the Company, its agents, directors, officers, and employees (collectively “Indemnified Party”) harmless from and against any and all third party claims, liability, loss, and expense (including damage awards, settlement amounts, and reasonable legal fees), brought against any Indemnified Party, arising out of, related to or which may arise from (i) your use of any Exelbid Services, and/or your breach of any term of this Agreement, (ii) any claim or allegation that any Ad Inventory or Ad Content infringes upon, violate, or misappropriate any intellectual property rights of a third party, or slander, defame, or libel any person, (iii) your failure to secure all consents, licenses, waivers, rights, title, and interest necessary to display the Ad Content or offer Ad Inventory, as the case may be, (iv) your failure to comply with our policies, (v) or with respect to the Website or the Exelbid Services, your failure to secure all rights, title, and interest necessary to offer Ad Inventory and serve the Ad Content onto the Ad Inventory. You agree not to settle any claim against any Indemnified Party without our prior written consent. 19 [Warranty Disclaimer] WE DO NOT REPRESENT OR WARRANT THAT THE EXELBID SERVICES OR EXELBID SDK ARE RELIABLE, ACCURATE, COMPLETE, OR OTHERWISE FREE FROM DEFECTS. ACCORDINGLY, THE SERVICES IN EXELBID ARE MADE AVAILABLE FOR USE “AS IS,” AND ANY USE THEREOF WILL BE UNDERTAKEN SOLELY AT YOUR OWN RISK. WE RESERVE THE RIGHT, IN OUR SOLE DISCRETION, SUSPEND THE OPERATION OF EXELBID AT ANY TIME (SUBJECT TO NOTICE AS MAY BE REQUIRED HEREIN). WE DO NOT CONTROL, ENDORSE OR ADOPT ANY AD INVENTORY OR AD CONTENT AND MAKE NO REPRESENTATION OR WARRANTIES OF ANY KIND REGARDING THE CONTENT OF ANY AD INVENTORY OR AD CONTENT, INCLUDING, WITHOUT LIMITATION, REGARDING THE ACCURACY, COMPLETENESS OR DECENCY OF ANY AD INVENTORY OR AD CONTENT. WE EXPRESSLY DISCLAIM THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR PERFORMANCE. FOR THE AVOIDANCE OF DOUBT, WE DO NOT GUARANTEE THE RESULTS OF THE EXELBID SERVICES OR THAT THE SERVICES WILL BE CORRECT, UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, THAT THE SERVICES WILL BE OPERABLE AT ALL TIMES OR DURING ANY DOWNTIME (I) CAUSED BY OUTAGES TO ANY PUBLIC INTERNET BACKBONES, NETWORKS OR SERVERS, (II) CAUSED BY ANY FAILURES OF YOUR EQUIPMENT, SYSTEMS OR LOCAL ACCESS SERVICES, (III) FOR PREVIOUSLY SCHEDULED MAINTENANCE OR (IV) RELATING TO EVENTS BEYOND OUR CONTROL SUCH AS STRIKES, RIOTS, INSURRECTION, FIRES, FLOODS, EXPLOSIONS, WAR, GOVERNMENTAL ACTION, LABOR CONDITIONS, EARTHQUAKES, NATURAL DISASTERS, OR INTERRUPTIONS IN INTERNET SERVICES TO AN AREA WHERE OUR OR YOUR SERVERS ARE LOCATED OR CO-LOCATED. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR OTHER DEVICE OR LOSS OF DATA, LOST PROFITS OR REVENUE THAT DIRECTLY OR INDIRECTLY RESULTS FROM YOUR USE OF THE EXELBID SERVICES. WE ARE NOT RESPONSIBLE AND WILL NOT GET INVOLVED OR MEDIATE ANY DISPUTE (A) BETWEEN OR AMONG OUR MEMBERS OR (B) BETWEEN YOU AND A THIRD PARTY WHICH IS LINKED TO ANY AD INVENTORY OR AD CONTENT AND A MEMBER OR (C) BETWEEN YOU AND AN END USER OVER ANY TRANSACTION ENTERED INTO BY AND AMONG SUCH PARTIES. WE CLAIM NO RESPONSIBILTIY FOR ANY LOSSES OR DAMAGES INCURRED BY YOU IN CONNECTION WITH YOUR DISCLOSURE OR RELEASE OF ANY PERSONAL INFORMATION ABOUT YOU. 20 [No Assignment] You may not assign or transfer this Agreement or any of your rights and obligations hereunder without the prior consent of the Company. 21 [Confidentiality] You agree not to disclose Exelbid Confidential Information (defined below) without our prior written consent and to use at least the same degree of care to prevent unauthorized use and disclosure of such Exelbid Confidential Information as you use with respect to your own confidential information (but in no event less than a reasonable degree of care). “Exelbid Confidential Information” includes any and all information that is disclosed by us, either directly or indirectly, in writing, orally or by inspection of tangible objects, which if disclosed in writing or tangible form is marked as “Confidential,” or with some similar designation, or if disclosed orally, is identified as being proprietary and/or confidential at the time of disclosure, or under the circumstances and nature of the information would be reasonably deemed to be confidential, and includes the features and functionality of the Exelbid Services or any portion thereof. Exelbid Confidential Information does not include information that: (a) is or becomes generally known to the public through no fault of or breach of this Agreement by you; (b) is rightfully known by you at the time of disclosure without an obligation of confidentiality; (c) is independently developed by the you without use of or reference to Exelbid Confidential Information and without any violation of any obligation of this Agreement; or (d) you rightfully obtain from a third party lawfully in possession of such information without restriction on use or disclosure. The confidentiality obligation herein shall survive three (3) years from any termination of this Agreement for three (3) years. 22 [Governing Law; Dispute Resolution] This Agreement and any action related thereto will be governed by the laws of the Republic of Korea without regard to or application of its conflict of law provisions. Any disputes, claims or controversies arising out of or relating to this Agreement shall be brought before the Seoul Central District Court and you consent to the exclusive jurisdiction of such court. 제1장 총칙 제1조 [목적] 본 약관은 모티브인텔리전스(이하 "회사")가 제공하는 광고 거래 플랫폼 서비스인 Exelbid(이하 "엑셀비드")를 "엑셀비드" 이용자(이하 "회원")가 이용할 수 있도록 "회사"가 "회원"에게 이용 권한을 부여함에 있어서 필요한 제반 사항 및 상호 간의 권리와 의무, 책임 사항을 규정함을 그 목적으로 합니다. 제2조 [용어의 정의] 1. 본 약관에서 사용하는 용어의 정의는 다음 각 호와 같습니다. 1) “엑셀비드”란 "회사"가 제공하는 광고 거래 플랫폼 서비스로, 엑셀비드 "사이트" 이용도 포함합니다. 2) "회원"이라 함은 "엑셀비드"를 이용하기 위해 본 약관에 따라 "회사"와 이용 계약을 체결하고 "엑셀비드"를 이용하는 업체, 해당 업체에 소속된 구성원, 혹은 개인을 의미합니다. "회원"은 "매체 파트너"와 "광고주 파트너"를 포함합니다. 3) "매체 파트너"라 함은 웹사이트, 모바일 어플리케이션, 또는 "회사"가 허용한 기타 광고 매체를 보유한 업체 또는 개인을 의미합니다. 4) "광고주 파트너"라 함은 "엑셀비드"에 등록된 광고주, 광고주 플랫폼, 광고 네트워크 또는 기타 거래 참여자를 의미합니다. 5) "광고 매체"라 함은 "매체 파트너"가 "엑셀비드"에 제공 또는 판매하고 "회사"가 연계하는 "광고 콘텐츠"가 탑재되는 웹사이트, 모바일 어플리케이션, 또는 "회사"가 허용한 기타 광고 매체를 모두 포함합니다. 아울러 "회사"가 PC, TV, 휴대형 단말기 등 각종 유•무선장치나 다른 유•무선 사이트를 통하여 “엑셀비드”를 제공할 경우 해당 유•무선 장치나 매체, 유•무선 사이트를 통한 광고 매체도 포함하는 개념으로 합니다. 6) “엑셀비드 SDK”라 함은 “엑셀비드”가 “매체 파트너”의 "광고 매체"에서 기능할 수 있도록 제공하는 모든 소프트웨어 개발 도구를 통칭합니다. 7) “광고 콘텐츠”라 함은 “회사”가 “광고 매체”를 연계하여 “광고 매체 이용자”에게 노출하는 특정 상품 또는 서비스에 대한 내용을 광고하는 목적의 콘텐츠를 의미합니다. 8) “광고 매체 이용자”라 함은 "매체 파트너"가 등록한 “광고 매체”를 이용하면서 “광고 콘텐츠”를 열람하게 되는 일반 고객을 의미합니다. 8) “사이트”라 함은 “엑셀비드” 서비스 제공을 위하여 “회사”가 운영하는 웹사이트(http://manage.exelbid.com)를 의미합니다. 9) “매체비”라 함은 “광고 매체”에 “광고 콘텐츠”를 노출한 것에 대한 금액을 의미합니다. 10) “ID”(고유번호)라 함은 “회원” 식별과 “회원”의 “엑셀비드” 이용을 위하여 “회원”이 선정하고 “회사”가 승인하는 영문자와 숫자의 조합 또는 이메일 계정을 의미합니다. 11) “PASSWORD”(비밀번호)라 함은 “회원”의 정보 보호를 위해 “회원” 자신이 설정한 문자와 숫자의 조합을 의미합니다. 12) “운영자”라 함은 “엑셀비드”의 전반적인 관리와 원활한 운영을 위하여 “회사”가 선정한 자를 의미합니다. 13) “게시물”이라 함은 “회원”가 “엑셀비드”를 이용함에 있어, “사이트” 상에 게시한 부호•문자•소리•화상•동영상 기타 정보 형태의 글, 사진 및 각종 파일과 링크를 의미합니다. 14) "계약서"라 함은 "엑셀비드" 이용에 앞서 "회사"와 "엑셀비드" 이용 신청자 간 합의한 내용을 의미합니다. 2. 본 약관에서 사용하는 용어의 정의는 전 항에서 정하는 것을 제외하고는 관계 법령 및 “엑셀비드” 이용안내, 기타 상관례에 따릅니다. 제3조 [약관의 효력 및 변경] 1. 본 약관은 “엑셀비드”를 이용하는 “회원”에 대하여 그 효력이 발생합니다. 2. 본 약관은 "엑셀비드" 이용을 위해 "회사"가 제공한 "사이트"에 접속하여 이용자 계정을 생성하거나 "엑셀비드" 내 기타 기능을 이용함으로써 "회원"은 본 약관에 대해 유효하고 최소 불가능한 동의를 한 것으로 간주합니다. 3. "회원"이 본 약관에 동의하지 않을 경우 "엑셀비드" 이용자 계정을 생성하거나 "엑셀비드" 내 기타 기능을 이용할 수 없습니다. 4. “회사”는 필요하다고 인정되는 경우 본 약관을 변경할 수 있으며, “회사”가 약관을 변경할 경우에는 적용일자 및 변경 사유를 명시하여, 본 조 제2항과 같은 방법으로 그 적용일자 15일 전부터 공지합니다. 다만, “회원”에게 불리한 약관의 변경인 경우에는 그 적용 일자 30일 전부터 공지하며, E-mail, SMS 등으로 “회원”에게 개별 통지합니다. (“회원”의 연락처 미기재, 변경 등으로 인하여 개별 통지가 어려운 경우에 한하여 “사이트”에 변경 약관을 공지함으로써 개별 통지한 것으로 간주합니다.) 5. “회사”가 본 조 제4항에 따라 변경 약관을 공지 또는 통지하면서, “회원”이 약관 변경 적용일 까지 거부의사를 표시하지 아니할 경우 약관의 변경에 동의한 것으로 간주한다는 내용을 공지 또는 통지하였음에도 “회원”이 명시적으로 변경된 약관의 효력 발생일까지 약관 변경에 대한 거부의사를 표시하지 아니하면 “회원”이 변경 약관에 동의한 것으로 간주합니다. “회원”는 변경된 약관에 동의하지 않을 경우 “엑셀비드”의 이용을 중단하고 “이용 계약”을 해지할 수 있습니다. 6. 본 약관에 동의하는 것은 “사이트”를 정기적으로 방문하여 약관의 변경사항을 확인하는 것에 동의함을 의미합니다. 변경된 약관에 대한 정보를 알지 못하여 발생하는 “회원”의 피해에 대하여 “회사”는 책임을 지지 않습니다. 제4조 [약관 외 준칙] 1. 본 약관에 명시되지 않은 사항에 대해서는 전기통신기본법, 전기통신사업법, 정보통신망 이용촉진 및 정보보호 등에 관한 법률(이하 “정보통신망법”이라 함), 전자상거래 등에서의 소비자보호에 관한 법률 등의 관계법령에 의합니다. 2. 본 약관은 "회원"이 "엑셀비드"와 상품, 서비스, 기타 내용에 대해 별도의 계약(이하 "개별 이용약관")을 체결했을 경우, "회원"은 본 약관 외에 "개별 이용약관"의 규정에 따라 "엑셀비드"를 이용해야 합니다. 제2장 "엑셀비드" 이용 계약 제5조 [이용 계약의 성립] 1. "엑셀비드" 이용 계약은 "엑셀비드”를 이용하길 원하는 신청자가 “회사”가 정한 절차에 따라 양사가 각 대표자의 서명이 날인된 "계약서"를 공유하고, 본 약관에 동의 및 “사이트”내 필요한 기재 항목을 입력하고 “회사”가 가입 완료를 표시한 시점에 체결됩니다. 2. “회사”는 “회원” 가입 및 “ID” 발급을 위해서 가입 신청자에게 실명 인증, SMS인증, E-mail 인증 등을 요청할 수 있습니다. 3. “회사”는 “회원”에 대하여 “회사”가 요구하는 절차를 통해 신청한 “엑셀비드” 이용에 대해 승인 여부 등을 결정할 권한을 가지며, 관련법 및 “회사”의 기준에 따라 “회원”이 신청한 내용의 변경을 요청할 수 있습니다. 4. “회사”는 “회원”에 대하여 청소년보호법 기타 관련법령에 따른 등급 및 연령 준수를 위하여 이용제한이나 등급별 제한 및 기타 필요한 조치를 취할 수 있습니다. 5. 미성년자가 “회원”로 가입하고자 하는 경우에는 법정대리인의 동의가 필요합니다. 이의 확인을 위해 “회사”는 미성년자의 법정대리인에게 실명 인증, SMS인증, E-mail 인증 등을 요청할 수 있습니다. 제6조 [가입 신청의 승낙과 제한] 1. 본 약관은 “엑셀비드”를 이용하는 “회원”에 대하여 그 효력이 발생합니다. 2. 회사는 제5조에서 정한 사항을 정확히 기재하여 이용 신청한 "회원"에 대하여 업무 수행상 또는 기술상 지장이 없는 경우에 원칙적으로 접수 순서에 따라 “사이트” 가입 신청을 승낙합니다. 3. “회사”는 다음 각 호에 해당되는 경우에는 승낙을 거부할 수 있으며, 등록이 된 이후에도 아래 각 호의 사유가 확인된 경우에는 승낙을 취소할 수 있습니다. 1) 가입 신청자가 실명이 아니거나 타인의 명의를 이용한 경우 2) 허위의 정보를 기재하거나, “회사”가 제시하는 내용을 기재하지 않은 경우 3) 가입 신청자의 귀책사유로 인하여 승인이 불가능하거나 기타 규정한 제반 사항을 위반하여 신청하는 경우 4) 기타 본 약관에 위배되거나 위법 또는 부당한 이용신청임이 확인된 경우 또는 “회원”의 책임 있는 사유로 인하여 “회사”가 승낙할 수 없는 경우 5) 기타 “회사”가 필요하다고 인정한 경우 4. “회사”는 다음과 같은 사유가 있는 경우, 가입 신청에 대한 승낙을 유보할 수 있습니다. 1) 설비에 여유가 없는 경우 2) 기술상 지장이 있는 경우 3) ”회사”의 실명 확인 절차에서 실명 여부가 확인되지 않는 경우 4) 기타 “회사”가 합리적인 판단에 의하여 필요하다고 인정하는 경우 5. 본 조 제3항 내지 제4항에 따라 “회사”가 “회원” 가입 신청의 승낙을 하지 아니하거나 이를 유보한 경우, “회사”는 이용신청자에게 승낙 유보의 사유, 승낙 가능 시기 또는 승낙에 필요한 추가요청정보 내지 자료 등 기타 승낙 유보와 관련된 사항을 해당 “엑셀비드” 또는 “사이트” 화면에 게시하거나 E-mail을 통하여 통지합니다. 제7조 ["사이트" 내 "회원" 정보 변경] 1. "회원"은 "사이트"에서 언제든지 "회원"의 정보를 열람하고 수정할 수 있습니다. 2. "회원"은 "엑셀비드" 이용 신청 시 기재한 사항이 변경되었을 경우, "사이트"에서 수정을 해야 하며 "회원"의 정보를 변경하지 아니하여 발생되는 문제의 책임은 "회원"에게 있습니다. 3. "회원"이 원하는 경우, "엑셀비드" 이용 동의를 철회할 수 있으며, 이용 동의를 철회한 경우, "엑셀비드" 이용에 제약이 따를 수 있습니다. 이용 동의의 철회는 "해지"신청을 하는 것으로 이루어집니다. 제8조 ["엑셀비드" 이용 사항 변경 및 중단] 1. “회사”는 “엑셀비드”의 내용, 품질, 또는 기술적 사양 등에 대해 “회사”의 합리적 판단에 따라 변경할 수 있습니다. 이 경우 변경되는 “엑셀비드” 이용 내용 및 제공 일자를 명시하여 제공 일자로부터 15일 전에 미리 “사이트” 초기화면 또는 email을 통해 공지합니다. 단, 변경 내용이 “회원”에게 불리한 변경의 경우에는 적용일자 30일 이전부터 적용일자 전일까지 공지합니다. 2. “회사”는 다음 각 호에 해당하는 경우 “엑셀비드” 이용의 전부 또는 일부를 제한하거나 중단, 종료할 수 있습니다. 1) ”엑셀비드” 이용 설비의 보수점검, 교체, 고장, 통신두절 또는 운영상 상당한 이유가 있는 경우 2) “회원”이 “회사”의 영업활동을 방해하는 경우 3) 정전, 제반 설비의 장애 또는 이용량의 폭주 등으로 정상적인 “엑셀비드” 이용에 지장이 있는 경우 4) ”회사”의 제반 사정으로 “엑셀비드”를 유지할 수 없는 경우 5) 기타 천재지변, 국가비상사태 등 불가항력적 사유가 있는 경우 3. “회원”는 다음 각 호에서 정한 바에 따라 “이용계약”을 해지할 수 있습니다. 1) ”회원”은 언제든지 “회사”에 이용계약 해지의 의사를 통지할 수 있습니다. 2) ”회원” 탈퇴로 인해 발생한 불이익에 대한 책임은 “회원” 본인이 져야 하며, “이용계약”이 종료되면 “회사”는 “회원”에게 부가적으로 제공한 각종 혜택을 회수할 수 있습니다. 3) “회원”은 "엑셀비드" 이용 관련 내용에 동의하지 않을 경우 “이용 계약”의 해지를 요청할 수 있습니다. 4. “회사”는 "회원"의 “엑셀비드” 이용의 변경, 중단, 종료로 인하여 발생하는 문제에 대해서 어떠한 책임도 지지 않습니다. 5. “회사”는 “회원”이 제10조에 규정한 “회원”의 의무와 제11조에 규정한 기타의사항을 이행하지 않을 경우 사전 통지 없이 즉시 “이용계약”을 해지하거나 또는 해당 “회원”의 “엑셀비드”를 제한할 수 있습니다. 6. “회사”는 “회원” 가입 후 1년 동안 “엑셀비드” 사용 이력이 없는 “회원”에 대해 사용 의사를 묻는 고지를 하고, “회사”가 정한 기한 내에 답변이 없는 경우 “이용계약”을 해지할 수 있습니다. 7. 본 조 제5항 및 제6항의 “회사” 조치에 대하여 “회원”는 “회사”가 정한 절차에 따라 이의신청을 할 수 있습니다. 8. 본 조 제7항의 이의가 정당하다고 “회사”가 인정하는 경우, “회사”는 즉시 “엑셀비드” 제공을 재개합니다. 제3장 계약 당사자의 의무 제9조 ["회사"의 의무] 1. “회사”는 “엑셀비드”의 제공과 관련하여 수집한 “회원”의 개인정보를 본인의 사전 동의 없이 제3자에게 누설, 배포하지 않습니다. 단, 관계법령에 의한 수사상의 목적으로 관계기관으로부터 요구받은 경우나 방송통신심의위원회의 요청이 있는 경우 등 법률의 규정에 따른 적법한 절차에 의한 경우에는 그러하지 않습니다. 2. “엑셀비드”와 관련한 “회원”의 불만사항이 고객센터를 통하여 접수되는 경우 “회사”는 이를 신속하게 처리하여야 하며, 신속한 처리가 곤란한 경우 그 사유와 처리 일정을 “사이트”에 게재하거나 E-mail 등을 통하여 동 “회원”에게 통지합니다. 3. “회사”는 정보통신망법, 통신비밀보호법, 전기통신사업법 등 “엑셀비드”의 운영, 유지와 관련한 법규를 준수합니다. 제10조 ["회원"의 의무] 1. “회원”는 “회사”의 사전 승낙 없이 다음 각 호와 같은 행위를 할 수 없으며, 제 3자가 이러한 행위를 하도록 승인하거나 조장해서는 안됩니다. 1) 공통 가. “회사”가 제공하는 “엑셀비드” 이용 방법에 의하지 아니하고 비정상적인 방법으로 “엑셀비드”를 이용하거나 시스템에 접근하는 행위 나. “회사”의 직원이나 “운영자”를 가장하거나 사칭하여 또는 타인의 명의를 도용하여 글을 게시하거나 메일을 발송하는 행위 다. 자기 또는 타인에게 재산상의 이익을 주거나 타인에게 손해를 가할 목적으로 허위의 정보를 유통시키는 행위 라. “엑셀비드”의 임의 해지, 재가입 등을 반복적으로 행함으로써 “회사”가 제공하는 할인쿠폰, 이벤트 혜택 등의 경제상의 이익을 불•편법으로 수취하는 행위 마. 기타 “엑셀비드”의 정상적인 운영을 방해하는 행위 바. 다른 “회원” 또는 "광고 매체 이용자"의 개인정보를 무단으로 수집, 저장, 공개하는 행위 2) 매체 파트너 가. 광고링크, 광고단위, 광고노출 형태 및 이에 포함된 정보의 순서를 편집, 수정, 필터링, 변형, 삭제, 숨기거나 최소화하는 행위 나. 직접 또는 제3자를 통하여 본인의 “광고 매체”에 게재된 “광고 콘텐츠”를 클릭하는 행위 다. 노출 수 및 클릭 수를 인위적으로 증가시키는 수단을 사용하는 행위(수동 작업 포함) 라. “광고 콘텐츠”를 클릭하는 것에 대한 대가로 “광고 매체 이용자”에게 보상을 제공하는 행위 마. “광고 콘텐츠” 옆에 오해의 소지가 있는 이미지 또는 다른 콘텐츠와 구분되지 않도록 만드는 행위 바. “회사”에서 명시적으로 허용하지 않은 방식으로 “광고 콘텐츠” 코드를 변경하거나, 표준 광고노출 형식, 타겟팅 등의 게재 내용을 조작하는 등, “엑셀비드”를 통해 저장 또는 송수신 되는 정보를 도용하거나 왜곡하는 행위 사. “회사”의 서버 및 설비 등에 부하를 야기하는 행위 3) 광고주 파트너 "광고주 파트너"는 "엑셀비드" 이용에 앞서 "회사"와 작성한 "계약서"에 위반되는 행위 2. “회원”이 본 조 제1항에 명시된 행위를 한 경우에 “회사”는 부가적으로 제공한 혜택의 일부 또는 전부의 회수, 특정 서비스의 제한, “이용계약”의 해지, 손해배상의 청구 등의 조치를 할 수 있습니다. 3. “회사”가 본 조 제2항에 정한 조치를 할 경우 “회사”는 사전에 “회원”에게 유선 또는 E-mail로 통보하며, “회원”의 연락이 두절되거나 긴급을 요하는 것과 같이 부득이한 경우, 선 조치 후 사후 통보할 수 있습니다. 4. “회원”은 본 조 제2항에 의한 “회사”의 조치에 대하여 이의를 제기할 수 있습니다. 5. 본 조 제2항에서 정한 바에 따라 “이용계약”이 해지될 시에는 “회사”는 별도 통지 없이 해당 “회원”과 관련된 거래를 취소할 수 있습니다. 6. 본 조 제2항에서 정한 바에 따라 “이용 계약”이 해지되는 경우 “회원”의 재이용신청에 대하여 “회사”는 그 승낙을 거절할 수 있습니다. 제11조 [기타 의무 사항] 1) 광고 매체 및 광고 콘텐츠 (1) "엑셀비드" 이용과 관련하여 "광고 매체"와 관련된 사항들에 대한 책임은 전적으로 "매체 파트너"에게 있습니다. (2) "엑셀비드" 이용과 관련하여 거래 (예: 판매, 지불 징수, 고객 서비스 등), "광고 콘텐츠" 집행과 관련하여 광고주 측면에 대한 책임은 전적으로 "광고주 파트너"에게 있습니다. 2) 정책. "회원"은 "회사"의 개인 정보 보호 정책을 포함하여, "회사"의 모든 정책 사항을 준수하도록 "회원"의 관계사에 해당하는 광고주 또는 매체 네트워크 및 제3자(해당하는 경우)에게 이를 준수하도록 계약서 상으로 요구해야 합니다. "회사""의 정책이 개정될 경우, "매체 파트너"의 관계사들과 "광고 파트너"의 관계사들에게 "회사" 정책이 원활하게 적용될 수 있도록 지원합니다. 3) 개인 정보 보호 정책. 개인화 광고 목적으로 "회사"와 같은 제3자에 의한 개인 정보 수집을 공개해야 하는 "회원"은 이에 대해 법적으로 적절한 개인 정보 보호 정책을 게시하고 준수해야합니다. "광고 매체" 이용과 관련하여 "광고 콘텐츠"를 보거나 볼 수 있는 모든 "광고 매체 이용자"에 대한 정보 수집, 사용 및 공유와 관련하여 해당 법률, 규칙 및 규정을 준수해야합니다. "매체 파트너"의 "광고 매체"에 타사의 "광고 매체"가 포함된 경우 "매체 파트너"가 개인 정보 보호 정책을 게시해야 합니다. 4) 어린이 온라인 개인 정보 보호법 ("COPPA")에 정의 된대로 13세 미만의 어린이를 대상으로 하는 "광고 매체"의 경우 "개인 정보"를 전송하지 않음을 진술하고 보증해야 합니다. 5) GDPR 관련 사항. 유럽 경제 지역, 영국 및 스위스의 "광고 매체 이용자"에게 개인화 광고를 제공하려는 경우 해당 "광고 매체 이용자"로부터 동의를 얻어야 합니다. 6) ID와 PASSWORD 관리. “회원”은 자신의 “ID” 및 “Password” 관리를 철저히 하여야 합니다. “ID”와 “Password”의 관리 소홀, 부정 사용에 의하여 발생하는 모든 결과에 대한 책임은 “회원” 본인에게 있습니다. 또한 “회원”는 본인의 “ID” 및 “Password”를 타인에게 이용하게 해서는 안되며, “회원” 본인의 “ID” 및 “Password”를 도난당하거나 타인이 사용하고 있음을 인지하는 경우에는 바로 “회사”에 통보하고 “회사”의 안내가 있는 경우 그에 따라야 합니다. 제4장. "엑셀비드"의 운용 제12조 [“엑셀비드” 이용 제한] 1. “회사”는 “회원” 혹은 “회원”에 소속된 “구성원”이 본 약관을 위반하거나 “엑셀비드”의 정상적인 운영을 방해한 경우 “엑셀비드” 이용을 제한할 수 있으며 “회사”는 이에 대해 별도로 보상하지 않습니다. 2. ‘회원”이 제공하는 "광고 매체" 또는 "광고 콘텐츠"가 다음 각 호에 해당하는 경우 “회사”는 “엑셀비드” 이용을 제한할 수 있으며 이에 대해 별도로 보상하지 않습니다. 1) 음란물, 폭력물, 외설, 도박, 사회적 공익 저해 등 사회 공공질서 및 미풍양속을 저해하는 콘텐츠 제공을 목적으로 하는 경우 2) "광고 매체"를 서비스하는 국가에서 불법으로 규정된 콘텐츠 혹은 기능을 제공하는 경우 3. “회사”는 “회원”이 이용 중인 “회원”의 광고 트래픽 중 일부 또는 전체 트래픽이 “부정 트래픽”으로 의심되는 구체적인 상황을 발견했을 경우 광고성과 측정 왜곡과 “회원”의 과도한 비용 발생 방지를 목적으로 사전 통지없이 해당 일부 또는 전체 트래픽의 광고성과 측정 기능을 일시적으로 중단할 수 있습니다. 4. “사이트”를 이용 중인 “회원”이 “매체비”를 특별한 사유없이 지급하지 않을 경우 “회사”는 별도의 통지없이 “사이트” 이용을 제한할 수 있습니다. 제13조 [“엑셀비드” 이용 지원] 1. “회원” 혹은 “회원”에 소속된 “구성원”이 “엑셀비드” 기능 이용 혹은 “엑셀비드 SDK” 적용과 관련하여 전자우편, 유선, 구두 전달 등의 방법으로 지원을 요청했을 경우, “회사”의 담당자들은 요청받은 사항을 지원하기 위해 “회원”의 모바일 어플리케이션 정보가 등록된 “회원”의 모바일 어플리케이션 빌드 파일에 접근할 수 있는 권리를 “회원”로부터 부여받은 것으로 간주합니다. 2. “회사”는 “회사”가 제공하는 서비스의 개선과 신규 기능 제공, “회원” 대상 통계 데이터 제공을 목적으로 “엑셀비드 SDK” 및 “회원”의 “엑셀비드 SDK” 이용 과정에서 수집되는 데이터 중 “광고 매체 이용자”의 모바일 디바이스 및 “회원”의 모바일 어플리케이션을 특정할 수 없도록 처리된 자료를 수집, 가공, 이용할 수 있습니다. 제14조 ["매체비"의 정산] 1. “회사”는 “매체비”를 “회사”가 별도로 정한 수익배분 기준에 따라 “매체 파트너”에게 지급합니다. 2. 본 약관 제14조에 의거하여 “회사”는 “엑셀비드” 모니터링 프로세스에 따라 “광고 매체”가 유효하지 않은 것으로 확인될 경우, “광고 콘텐츠” 게재 중지 및 “회원”에 대한 “매체비” 지급을 보류하거나 거부할 수 있습니다. 3. “회사”와 “매체 파트너”가 합의한 매체 수수료율을 적용하여 "매체비"가 정산되며, 정산의 기준 데이터는 “엑셀비드” “사이트”에 집계된 수치를 기반으로 정산합니다. 4. “회원”는 “이용계약”의 해지 이후 미 정산된 “매체비”에 대해 “회사”에 이를 청구할 수 있습니다. 단, “이용계약” 해지 후 만 5년이 지난 이후에는 자동 소멸됩니다. 5. “회사”는 부가가치세법 제33조 및 동 시행령 제84조의 규정에 근거하여 납세 관리에 관한 정책을 수립할 수 있습니다. 제15조 ["매체비" 정산의 보류] 1. ”회사”는 “매체 파트너”의 귀책사유로 인해 발생한 비용을 “매체비” 정산 시 공제할 수 있으며, “매체 파트너”와의 “이용계약” 종료 후 당해 “매체 파트너”의 “매체비” 중 일정 비율에 해당하는 금액을 “이용계약” 종료일로부터 일정기간 동안 예치하여 동 기간 동안 “광고주 파트너”로부터 오류 수정, 환불 등의 리콜 요구가 발생하는 경우 관련 비용의 지급에 사용할 수 있습니다. 2. ”매체 파트너”의 채권자의 신청에 의한 “매체비”의 가압류, 압류 및 추심명령 등 법원의 결정이 있을 경우, “회사”는 “매체 파트너”와 채권자 간의 합의 또는 채무액의 변제 등으로 동 결정이 해제될 때까지 “매체비”의 정산을 중지할 수 있습니다. 3. 본 조에 정한 외에도 법률의 규정에 의하거나 합리적인 사유가 있는 경우에는 “회사”는 “매체 파트너”에게 통지하고 “매체비”의 전부 또는 일부에 대한 정산을 일정 기간 유보할 수 있습니다. 제16조 [정보의 제공 및 광고의 게재] 1. ”회사”는 “엑셀비드”를 운영함에 있어 각종 정보를 “사이트”에 게재하거나 E-mail 및 서신 우편 등의 방법으로 “회원”에게 제공할 수 있습니다. 2. ”회사”는 “회원”의 동의 하에 SMS, E-mail 등을 통하여 개발에 유용한 정보와 기타 광고 등을 송신할 수 있습니다. 제17조 [게시물 또는 내용물의 삭제] 1. “회사”는 “사이트” 내에서 “회원”이 게시하거나 전달하는 모든 “게시물”이 다음 각 호의 경우에 해당한다고 판단되는 경우 사전통지 없이 삭제할 수 있으며, 이에 대해 “회사”는 어떠한 책임도 지지 않습니다. 1) ”회사”, 다른 “회원” 또는 제3자를 비방하거나 중상모략으로 명예를 손상시키는 내용인 경우 2) 공공질서 및 미풍양속에 위반되는 내용의 “게시물” 유포 등에 해당하는 경우 3) 범죄 행위에 결부된다고 인정되는 내용인 경우 4) ”회사” 또는 제3자의 저작권 등 기타 권리를 침해하는 내용인 경우 5) 본 조 제2항 소정의 세부이용지침을 통하여 “회사”에서 규정한 게시기간을 초과한 경우 6) 불필요하거나 승인되지 않은 광고, 판촉물을 게재하는 경우 7) 기타 관계 법령 및 “회사”의 지침 등에 위반된다고 판단되는 경우 2. ”회사”는 “게시물”에 관련된 세부이용지침을 별도로 정하여 시행할 수 있으며, “회원”는 그 지침에 따라 각종 “게시물”을 등록하거나 삭제하여야 합니다. 제18조 [손해배상] 1. “회사”는 “회원”가 “엑셀비드”를 이용함에 있어 “회사”의 고의 또는 과실로 인해 손해가 발생한 경우에는 민법 등 관련 법령이 규율 하는 범위 내에서 그 손해를 배상합니다. 2. “회원”은 본 약관을 위반하거나 관계 법령을 위반하여 “회사”에 손해가 발생한 경우에는 “회사”에 그 손해를 배상하여야 합니다. 3. “회원”이 본 약관을 위반하거나 관계 법령을 위반하여 제3자가 “회사”를 상대로 민•형사상의 법적 조치를 취하는 경우에는 “회원”은 자신의 비용과 책임으로 “회사”를 면책시켜야 하며, 이로 인해 발생하는 손해에 대해 배상하여야 합니다. 제19조 [면책사항] 1. “회사”는 “엑셀비드”와 관련하여 “회사”의 고의 또는 중과실이 없이 “회원”에게 발생한 일체의 손해에 관하여 책임을 부담하지 않습니다. 2. “회사”는 천재지변 또는 이에 준하는 불가항력으로 인하여 “엑셀비드”를 제공할 수 없는 경우에는 “엑셀비드”에 관한 책임이 면제됩니다. 3. “회사”는 “회원”의 귀책사유로 인한 “엑셀비드”의 이용 장애에 대하여 책임을 지지 않습니다. 4. “회사”는 “모바일 광고”를 노출하는 업무를 수행할 뿐이며, 해당 “모바일 광고”를 통한 광고효과에 대해 어떠한 보장도 하지 않습니다. 5. “회사”는 “회원”이 “엑셀비드”의 이용으로 기대하는 수익을 상실한 것에 대하여 책임을 지지 않으며 그 밖에 “엑셀비드”를 통하여 얻은 자료로 인한 손해 등에 대하여도 책임을 지지 않습니다. “회사”는 “회원”이 “사이트”에 게재한 정보, 자료, 사실의 신뢰도 및 정확성 등 내용에 대하여는 책임을 지지 않습니다. 6. “회사”는 “회원” 상호간 또는 “회원”과 제3자 상호간에 “엑셀비드”를 매개로 발생한 분쟁에 대해서는 개입할 의무가 없으며 이로 인한 손해를 배상할 책임이 없습니다. 7. “회원”이 자신의 개인정보를 타인에게 유출 또는 제공함으로써, 발생하는 피해에 대해서 “회사”는 일절 책임을 지지 않습니다. 8. 본 “모바일 광고” 화면에서 링크, 배너 등을 통하여 연결된 타회사(또는 제3자)와 “회원” 또는 “광고 매체 이용자” 간에 이루어진 거래에 “회사”는 개입하지 않으며, 해당 거래에 대하여 책임을 지지 않습니다. 제20조 [양도 및 권한 위임 금지] 1. “회원”은 “회사”의 동의 없이 본 약관 상의 권리 또는 의무의 전부 또는 일부를 제3자에게 양도, 위임하거나 담보의 목적으로 제공할 수 없습니다. 제21조 [비밀유지] 1. “회사”와 “회원”은 법령상 요구되는 경우를 제외하고는 "엑셀비드" 이용과 관련하여 취득한 "회원" 또는 "광고 매체 이용자"의 정보, "회사"의 기술정보, 노하우 등 비밀로 관리되는 정보를 제3자에게 누설하여서는 아니 됩니다. 2. 본 조 제1항의 의무는 “이용계약”의 종료 후에도 3년간 존속합니다. 제22조 [관할법원] 1. “회사”와 “회원” 간 제기된 소송은 대한민국 법을 준거법으로 합니다. 2. “엑셀비드” 이용과 관련하여 “회사”와 “회원” 사이에 분쟁이 발생한 경우, “회사”와 “회원”는 분쟁의 해결을 위해 성실히 협의합니다. 3. 본 조 제1항의 협의에서도 분쟁이 해결되지 않아 소송이 제기되는 경우에는 서울중앙지방법원을 1심 관할법원으로 합니다. 이용약관 버전 1.3 ( 시행일 : 2021년 4월 1일 ) 이용약관 버전 1.2 (시행일 : 2020년 11월 15일) 이용약관 버전 1.1 ( 시행일 : 2019년 08월 21일 ) 이용약관 버전 1.0 ( 시행일 : 2016년 11월 01일 )

(the “Company” or “Motiv Intelligence”) has developed this Privacy Policy (this “Privacy Policy”) to demonstrate our commitment to protecting our users’ privacy. The terms Motiv Intelligence,” ‘we,” and “our” include the Company. The terms “you” and “your” refer to any individuals and entities (including our Publisher Partners, Advertising Demand Partners and other users) who use our Exelbid services or visits our Exelbid website (collectively, the “Exelbid Services”). This Privacy Policy is based on the standards provided under the domestic laws, including without limitation, the Act on Promotion of Information and Communications Network Utilization and Information Protection, etc. (“Information and Communications Network Act”) and Personal Information Protection Act, Protection of Communications Secret Act, Telecommunications Business Act and other applicable international standards. This Privacy Policy explains how we collect, use, share, or otherwise processes personal information from the users of Exelbid Services. 1. Purposes of Collection and Use We may collect and process personal information about you for the following purposes. We do not otherwise share your personal information with third parties or use your personal information for any other purposes unless otherwise expressly provided herein. We may use your personal information in connection with responding to your inquiries and grievances. That is, we may process personal information about you to confirm your identity, to review your questions or complaints and to communicate to you with our responses. We may process your personal information to develop new services or provide more personalized and streamlined services based on demographic information or information about your interest and also to monitor statistics for your use of our services. We may use or process personal information about you to invite you to our special promotional events from time to time. We may collect and use personal information about you as our Member (as defined in our “Exelbid Terms of Service”) to verify your identity and status, to prevent unauthorized use or intrusion to our services, to confirm your consent to join our services, , to verify registration status and prevent you from creating multiple accounts and also for our record keeping purposes in connection with dispute resolution and customer services. 2. Our Policy on Collection and Use of Personal Information We may collect personal information about you in connection with providing the Exelbid Services through the following methods. 1). Collection Methods We may use the following methods to collect personal information about you. (1) through our website, on paper forms, via facsimile and phone, or Q&A board on our website or by your entrance to our promotional events; (2) through our agents and third party partners; or (3) via information collecting tools. 2). Information We Collect Through Exelbid Personal information collected by Exelbid also includes the data about our Publisher Partners and Advertising Demand Partners (as defined in our Exelbid Terms of Service) collected from their use of manage.exlebid.com and the Exelbid SDK. (1) Terms of Privacy for Information collected from our Exelbid website (manage.exelbid.com, collectively with www.exelbid.com the “Website”) (a) Personal information collected from our Publisher Partners, Advertising Demand Partners and employees of Motiv Intelligence Inc.: (i). Personal information that we require from our users who desire to apply for using Exelbid including, but not limited to, name, E-mail address, physical address, phone number and the entity name. (ii). You may be requested to provide additional information such as your ID and password for you to create an account on the Website. Such information is only used to make the Exelbid Services available to you and to provide relevant information about Exelbid. (iii). If you do not wish to receive promotional information, you may opt not to receive such information by following the instruction contained in the promotional e-mails. (iv). We may collect information about web pages you visited, popular search terms and whether you used a secured connection to provide optimized service. Also, during the course of your use of the Exelbid Services, our system may automatically record certain personal information about you such as IP address, usage history, visiting history and device information (model number, operating system and unique identifiers of the device) and cookie information. You may reject cookies or delete them at any time. However, you may not be able to use a certain portion of the Exelbid Services if you reject our use of cookies. (b) Your Right to Review and Update Information on the Website. You may access and review your personal information that you provided when you created your user account on the Website so that you can update your information from time to time. If you wish to cancel and delete your account, you may login and follow the instructions contained on our Website. Unless we have a legal basis to store your personal data to comply with tax or accounting rules and regulations, we will delete or de-identify the personal information we have collected about you upon your request to delete or cancel your account. (c) Sharing of Personal Information of Our Users We may disclose personal information about you if necessary to respond to the inquiries or verification requests that we receive in connection with the Exelbid Services. We may also share information about our users within the Company to provide, understand, or improve our services. (2) Information Collected through Ad Inventory We may collect the following personal information about the users of Ad Inventory (as defined in our Exelbid Terms of Service) that uses the Exelbid SDK. (i). IP address, iOS identifier for advertising (IDFA), Android advertisement ID or Exelbid unique identifier. (ii). Precise geographic location if location services are enabled. You should be aware that even if the location services are disabled, we can still infer location data based on your IP address. (iii). demographical information collected by Exelbid Publisher Partners (e.g., your age or gender) or information about your personal interests. (iv). information about your device, such as the type, model number, manufacturer, operating system (e.g. iOS or Android), mobile carrier, browser (e.g. Chrome or Safari), screen resolution and other relevant information about your device. (v). Information about ad inventory and its version, the start/stop time of the ad inventory, your current time zone and network connection type (e.g. WiFi, celluar) (vi). Information about the type of Ad Content (as defined in our Exelbid Terms of Service), the location of the Ad Content within the Ad Inventory, whether or not it has been viewed or clicked, whether the user visited the Advertising Demand Partner’s website or used its services. (a) Our Use of Personal Information Collected through Ad Inventory We use personal information collected through Ad Inventory that use the Exelbid SDK for the following purposes. (i). Publish Ad: To allow Publisher Partners to offer advertising space on their Ad Inventory so that Advertising Demand Partners may bid on such Ad Inventory to deliver their Ad Content. (ii). Interest based advertising: provide targeted advertising content based on personal interests information collected by Advertising Demand Partners. (iii). Location Targeting: Advertising Demand Partners may utilize the location data collected to provide targeted advertising based on prior or current location information. (iv). Reporting: We may share the ad content data (e.g. how many time it was displayed) to Advertising Demand Partners. (v). Setting Frequency: We monitor activities so to prevent users from seeing the same ad content repeatedly. (vi). Detect and Prevent Fraud: We use personal information to detect fraudulent clicks thus protecting our Publisher Partners and Advertising Demand Partners from fraud and also to improve our services. (vi). Maintenance: We audit, study and analyze personal information to maintain, protect and improve our services, and to ensure that our system runs properly. In doing so, we may share personal information with our third party partners for additional support. (b) Processing of Personal Information for Personalized Advertising We have the following policy in place to monitor and control processing of personal information collected from users of AD Inventory for providing personalized advertising. (i). (GDPR) European Economic Area, the United Kingdom and Switzerland a. Consent: If you are a Publisher Partner and would like to provide personalized advertising to users in the European Economic Area, the United Kingdom, or Switzerland, then you must first obtain the prior consent of such users. Some Publisher Partners may be required to obtain the prior consent of their users for this purpose even if the users are located outside of these regions. If the Publisher Partner obtained such consent, Exelbid and our Advertising Demand Partners will collect, use, share, and otherwise process all of the personal information described above for the purposes of serving personalized advertising. If you do not wish to offer personalized advertising, then we will not process personal information of your users for this purpose. That is, we will not collect, use, or share your users’ iOS Identifier for Advertising or Android Advertising Identifier, precise location data, or your demographic or interest information. We can and will still serve your users with contextual advertising, that is advertisements targeted to the content or type of app your users are using (for example, serving an ad for a video game to a gaming app). b. Withdrawal of Consent: You may withdraw your consent to our personalized advertising experience at any time. Publisher Partners may provide a way for their users to withdraw the consent previously given directly from the Ad Inventory. If a user withdrew its consent from within the Ad inventory, we will no longer collect, use, share, or otherwise process personal data from such Ad Inventory to personalize the user’s advertising experience. Also, a user may change his/her device settings to withdraw the consent to Exelbid’s personalized advertising experience for all apps on that device. On iOS, you can do so by enabling the “Limit Ad Tracking” setting. On Android devices, you may do so by enabling the “Opt out of Ads Personalization” setting. You may reject cookies or delete them at any time by change settings on your mobile or PC browser. However, you may not be able to use a certain portion of the Exelbid Services if you reject our use of cookies After the user enabled the respective settings on the device as provided above, we will no longer collect, use, share, or otherwise process personal information from that device for personalized advertising experience. Unless we have another legal basis for keeping the user’s personal data, we will also delete or de-identify the personal information we have collected about such user within 30 days from the date on which the user applied one of the above methods to withdraw consent. Even if the users of Ad Inventory do not consent to a personalized advertising experience, or later withdraw their consent, we will still process personal information about the users when and as necessary to comply with applicable laws or to support our legitimate interests. c. Where Legally Required: We will process personal information as necessary to comply with applicable laws. For example, we will collect from the users of Ad Inventory, IP addresses to identify a country location so that we know whether such users are located in the European Economic Area, the United Kingdom, or Switzerland, but we will not share the users’ full IP addresses or retain the same internally. Similarly, if the users consent to our personalized advertising experience, but later withdraw such consent, we will continue to retain a record of the iOS Identifiers for Advertising or Android Advertising IDs of their devices for the purpose of recording when they consented and withdrew their consent to our processing of personal information. As part of processing the users’ withdrawal of consent requests, we will shares the iOS Identifiers for Advertising or Android Advertising IDs of the withdrawing users’ devices to the respective Exelbid Publisher Partners and Advertiser Partners so that they can also be informed of the withdrawal. (ii). Minors Under the Age of 13 (COPPA) We are not permitted to collect information from Ad Inventory directed to children under the age of 13 for purposes of personalized advertising. We may, however, collect information from Ad Inventory directed to children for other purposes, such as serving advertisements based on contextual information, like the content or type of app they are using (for example, serving an ad for a video game to a gaming app). In addition, if a user resides in the European Economic Area, the United Kingdom, or Switzerland, then the user must be at least 16 years of age to give his/her consent to Exelbid’s personalized advertising experience. We do not collect or otherwise process personal data from individuals in the European Economic Area, the United Kingdom, and Switzerland whom we know are under the age of 16, except to comply with apply laws or to support our legitimate interests. 3. When We Share Personal Information with Third Parties We use personal Information about our users only to the extent provided under “2. Policy on Collection and Use of Personal Information.” Except where we are required to disclose or submit personal information to comply with applicable laws, regulations, legal processes, governmental requests or court orders, we will not use or disclose to any third party personal data about the users for any other purposes without their prior consent. 4. Retention and Use of Personal Information We will promptly delete or de-identify the personal data we have stored about our users once we have accomplished the purposes for collecting and storing the personal data as provided above with exception of the following reasons (and no other reasons) in which cases, we may store the personal information for the duration set forth below. Storing Personal Information Pursuant to Applicable Laws To the extent required under applicable laws, including, without limitation, the Commercial Act and the Act on the Consumer Protection in Electronic Commerce, etc., we may store personal information about you for certain period of time. Destruction of Personal Information and The Methods Used We will promptly destroy personal information that is no longer required to fulfil the identified purposes stated above. We apply the following procedures in destroying such personal data. 1). Destruction Procedures We will move such personal information that is no longer required to fulfil the identified purposes to a separate DB (separate files in case of information in hard copies) and maintain it for set duration of time or promptly destroy as required by applicable laws. We will not use the personal information that is maintained in separate DB for any reasons except to comply with applicable laws. 2). Disposal Method (1) Personal information stored in electronic format will be deleted by using a technical approach to prevent it from being restored. (2) Information on paper form will be shredded or incinerated. 6. Rights of Users and Their Legal Guardians Users of Exelbid can login in to check and update their personal information registered on our system at any time. If they wish to withdraw their consent to our processing of personal information about them, then the users can either withdraw their consent or request for cancellation of their accounts (please note that you may not be able to use our services or any part thereof upon your withdrawal of your consent or cancellation). To access or modify your personal information, you can login to your account and click on ‘update member information’ and to cancel your account (or to withdraw your consent), you can click on ‘closing account’ and follow the instructions. You can also write to us or call or e-mail us and make your request to modify or cancel. If you request a correction of your personal information registered on our system, we will not use or share your information until the correction is completed. Also, if we have already shared the personal data containing an error with any third party, we will promptly notify the third party of the correction. 7. How We Protect Your Personal Information We strive to safeguard personal information of our users by utilizing technology and management system as follows. 1). Encryption of Personal Data Sensitive and critical information such as your password is encrypted and only you can check and modify such information. 2). In order to prevent the loss of personal information, we back up our data on a regular basis, use the latest anti-virus program, and use encryption technology to securely transmit personal information on our network.
